Welcome to BoothSpace. These Terms & Conditions govern your access to and use of the BoothSpace website, applications, software, and services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms & Conditions.
BoothSpace is a software platform that connects event organizers, market operators, fair organizers, festival organizers, trade show operators, and other event hosts ("Hosts") with vendors, exhibitors, makers, artisans, sponsors, food vendors, service providers, and other participants ("Vendors").
BoothSpace is solely a technology provider and marketplace platform. BoothSpace is not an event organizer, promoter, venue operator, contractor, employer, agent, broker, insurer, guarantor, or representative of any Host, Vendor, attendee, venue, sponsor, or third party. BoothSpace does not organize, manage, supervise, inspect, endorse, guarantee, or control any event, venue, vendor, host, product, service, booth space, sponsorship opportunity, or business relationship facilitated through the Platform.
Any agreement, application, approval, transaction, communication, payment, refund, cancellation, booth rental, sponsorship agreement, vendor participation, or business relationship exists solely between the Host and Vendor involved. BoothSpace acts only as a software intermediary that enables users to discover opportunities, submit applications, communicate, process payments, and manage event information.
Hosts are solely responsible for creating, managing, promoting, operating, staffing, and administering their events. Hosts are solely responsible for determining event rules, pricing, booth assignments, application requirements, approval criteria, cancellation policies, refund policies, permits, licenses, insurance requirements, venue compliance, safety procedures, event communications, and all event-related obligations.
Vendors are solely responsible for ensuring that their products, services, displays, staffing, insurance, permits, licenses, tax obligations, and business activities comply with all applicable laws and event requirements. Vendors are solely responsible for evaluating event opportunities and determining whether participation is appropriate for their business.
BoothSpace does not verify or guarantee the accuracy of event listings, attendance estimates, venue information, organizer claims, vendor information, booth availability, sponsorship opportunities, event quality, event profitability, sales opportunities, organizer experience, vendor qualifications, permits, insurance coverage, or compliance with applicable laws. BoothSpace does not guarantee attendance, revenue, lead generation, sales, customer traffic, sponsorship value, return on investment, event quality, organizer performance, vendor performance, or business success.
Users acknowledge that participation in any event carries inherent risks. BoothSpace shall not be responsible for event cancellations, postponements, venue changes, weather conditions, natural disasters, government actions, labor disputes, public health concerns, organizer misconduct, vendor misconduct, fraud, theft, property damage, personal injury, illness, death, reputational harm, lost profits, lost opportunities, or any other event-related outcome.
Payments may be facilitated through third-party payment providers. BoothSpace is not a bank, financial institution, escrow provider, money transmitter, or payment processor. BoothSpace does not guarantee the availability, timing, accuracy, or successful completion of any payment, payout, withdrawal, transfer, refund, chargeback, or financial transaction.
Refund policies for booth fees, application fees, sponsorship fees, and any other amounts charged by a Host are established and controlled solely by the individual Host. BoothSpace does not determine refund eligibility and does not make refund decisions on behalf of Hosts. Any request for a refund, credit, transfer, cancellation, or adjustment of Host-charged amounts must be directed to the Host responsible for the event. BoothSpace is not liable for denied refunds, delayed refunds, partial refunds, event cancellations, vendor withdrawals, chargebacks, or disputes concerning funds paid to a Host through the Platform.
The BoothSpace service fee (currently $4.99 per paid transaction) is a separate, non-refundable platform fee charged by BoothSpace for use of the Platform and is retained by BoothSpace even when a Host issues a full or partial refund of the underlying booth, application, or sponsorship fee. The service fee will be refunded only when BoothSpace, in its sole discretion, determines that the entire event was cancelled by the Host and no rescheduled date is offered, or when required by applicable law. The service fee is not refundable due to vendor cancellation, vendor no-show, Host rejection of an application after payment, weather, low attendance, dissatisfaction with the event, or any other circumstance not expressly listed above.
Credit and debit card processing fees charged by our third-party payment processor (currently approximately 2.9% plus $0.30 per transaction, subject to change by the processor) are likewise non-refundable. When a Host issues a refund, the payment processor retains the original processing fees, and those amounts will not be returned to the Vendor or the Host. Where an event is configured so that the Vendor pays processing fees as part of their total at checkout, the Vendor acknowledges and agrees that those processing fees are non-refundable under any circumstance, including a full refund of the booth, application, or sponsorship fee by the Host.
The Platform is provided on an "as is" and "as available" basis. BoothSpace does not guarantee uninterrupted, secure, error-free, or continuous operation of the Platform. Users acknowledge that software systems may experience bugs, outages, interruptions, cyberattacks, maintenance periods, integration failures, data corruption, data loss, service degradations, connectivity issues, or other technical problems.
BoothSpace shall not be responsible for any damages, losses, missed opportunities, lost registrations, lost applications, lost communications, lost data, lost revenue, business interruptions, or other losses resulting from Platform downtime, software defects, system failures, or technical issues.
Users retain ownership of content submitted to the Platform. By submitting content to BoothSpace, users grant BoothSpace a worldwide, royalty-free, non-exclusive license to host, display, reproduce, distribute, modify, and use such content for operating, improving, promoting, and providing the Platform.
The Platform may integrate with or rely upon third-party services including payment processors, cloud infrastructure providers, analytics providers, communication providers, authentication providers, and other services. BoothSpace is not responsible for the availability, performance, actions, security, policies, or content of third-party services.
Users agree to defend, indemnify, and hold harmless BoothSpace, its owners, officers, employees, contractors, affiliates, successors, and assigns from and against any claims, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising from their use of the Platform, participation in events, violation of these Terms, or disputes with third parties.
To the fullest extent permitted by law, BoothSpace shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages. This includes damages arising from lost profits, lost business opportunities, lost revenue, lost goodwill, lost data, service interruptions, disputes, fraud, payment issues, personal injuries, property damage, event cancellations, or any other losses.
In all circumstances, BoothSpace's total aggregate liability shall not exceed one hundred U.S. dollars ($100) or the amount paid by the user directly to BoothSpace during the twelve months preceding the claim, whichever is greater.
Any dispute arising out of or relating to the Platform or these Terms shall be resolved exclusively through binding arbitration in the State of California. Users waive any right to a jury trial and agree that any claim must be brought solely on an individual basis. Users waive any right to participate in class action, collective action, representative action, or consolidated proceedings against BoothSpace.
BoothSpace shall not be liable for any delay or failure resulting from causes beyond its reasonable control, including natural disasters, severe weather, acts of God, war, terrorism, labor disputes, internet outages, utility failures, cyberattacks, transportation disruptions, pandemics, government actions, or failures of third-party providers.
These Terms shall be governed by and construed in accordance with the laws of the State of California.
BoothSpace reserves the right to modify these Terms at any time. Continued use of the Platform following any update constitutes acceptance of the revised Terms.
